How to use Ratify
Step-by-step help for company secretaries, directors, chairs, observers and billing contacts, with screenshots of the portal.
Getting started
Meet Drop Bear Rescue, the board in our examples
The made-up board used in every help article and screenshot: who its people are, what they do in Ratify, and why each one is there.
Signing in to Ratify
Sign in with your email address and a six-digit code, then confirm it's you with a passkey or an authenticator app. No password to remember.
Accepting an invitation to a board
Your company secretary invites you by email. Open the link, accept, enter the code we send and set up your second step. It takes about a minute.
Switching between boards
If you sit on more than one board, switch between them from the board name at the top of every page. Each board keeps its own papers and settings.
For company secretaries
Inviting members and choosing their role
Invite directors, the chair, observers and a billing contact by email, choose their committees, and change a role later from the Members page.
Resetting a member's two-step verification
When a director loses their phone or recovery codes, reset their second step from the Members page. They set up a new one the next time they sign in.
Board settings: watermarks, conflicts and sign-in
Choose whether board packs are watermarked, whether directors can read offline, whether a conflict withholds papers, and how members sign in.
Scheduling a meeting and building the agenda
Schedule a board or committee meeting from a template, then add, reorder and nest agenda items, mark items for decision or in camera, and upload papers.
Compiling and releasing a board pack
Turn the agenda and its papers into one board pack, preview it, then release it. Each person gets an email and their own copy, watermarked if you choose.
Running a meeting: attendance, votes and actions
Use In the meeting to record who's there, note conflicts, put resolutions to the vote, record votes given in the room and assign actions as you go.
Writing the minutes and getting them signed
Draft the minutes beside what Ratify recorded in the meeting, send them to the chair, make changes, circulate them to the board and have the chair sign.
Circular resolutions: deciding between meetings
Put a resolution to the directors in writing, set when voting closes and what it needs to pass, and let Ratify decide it as soon as the result is certain.
The decision and conflict-of-interest registers
Every resolution and every declared conflict, in two registers Ratify keeps for you, with links to where each was decided, and a CSV download.
For directors and the chair
Reading a board pack and making notes
Open the pack from your email or home page, jump to an agenda item, search, and highlight, keep private notes or comment, on a computer, iPad or phone.
Declaring a conflict of interest
Tell the board about a conflict on an agenda item before or during the meeting, or on a circular resolution. Ratify records it and leaves you out of the vote.
Voting on a resolution
Vote For, Against or Abstain on a resolution in a meeting or between meetings. Your vote is final once you confirm it, and you can see how each person voted.
Your actions
See every action you've agreed to, on every board you sit on, and mark them done or update them with a note.
For observers and billing contacts
What observers can see
Observers, such as the auditor, read the agenda, papers and minutes, but not in-camera items, confidential papers or the conflict register.
For billing contacts: managing the subscription
A billing contact, such as a finance officer who isn't on the board, sees only the Billing page: the plan, payments and invoices, never board papers.
Still stuck?
Your company secretary can reset your sign-in and change what you can see. For anything else, email contact@ratify.au.
